The Bloomberg Legal Entity Identifier Service (as defined below) is provided to you ("you" or "LEI entity") by Bloomberg Finance L.P., 731 Lexington Avenue, New York, NY 10022 ("BFLP"). BFLP is authorized to issue Legal Entity Identifiers ("LEIs") under the Global Legal Entity Identifier System ("GLEIS") operated by the Global Legal Entity Identifier Foundation (“GLEIF”).
Please read the following terms and conditions. This Customer Agreement and the Terms and Conditions of Service for this website ("TOS", and collectively with this Customer Agreement, the "Agreement") set forth the legal terms and conditions that will govern an LEI issued by (or transferred to) BFLP and that LEI’s reference data ("LE-RD"). Please also refer to the Privacy Policy included in the TOS, which form part of this Agreement.
The “Bloomberg Legal Entity Identifier Service” means the single point-in-time service BFLP provides to you at the time BFLP issues you an LEI, renews or transfers your LEI, or accepts a transfer of your LEI from another LOU (as defined below). For the avoidance of doubt and notwithstanding any other provision herein, BFLP has no continuing obligation to service you in connection with your LEI.
Term and Termination
Unless otherwise terminated, this Agreement shall be in effect as long as the LEI entity exists or as long as BFLP operates as a Local Operating Unit ("LOU"). BFLP may terminate this Agreement upon written notice to the LEI Entity if (a) the LEI entity transfers the LEI to another LOU or to GLEIF; (b) the LEI entity abandons its status as an LEI entity; or (c) the LEI entity fails to comply with any requirements in this Agreement, including non-compliance with the requirements in the course of re-validation. In addition, BFLP may terminate this Agreement upon written notice to you in the event that BFLP’s agreement with GLEIF is terminated. In the case of any such termination, BFLP shall have no liability to you arising in connection its termination of this Agreement.
You may submit a request for an LEI or a request for information concerning LEIs. As part of the registration and account creation process necessary to submit such requests or obtain access to certain portions of the Bloomberg Legal Entity Identifier Service, you will select a username and a password. You represent and warrant to BFLP that (i) the individual submitting the LEI request is authorized to do so on your behalf; (ii) the LEI Entity has not been issued and has not applied for an LEI with any other Local Operating Unit ("LOU") under the GLEIS; and (iii) the information submitted by you in connection with the request is complete, authentic and accurate.
Following the issuance of an LEI, you agree to (i) respond to communications sent from BFLP in regards to possible data challenges or other events that may require confirmation or an update; (ii) notify BFLP in writing of any changes to the information of the LEI Entity as soon as practicable after any such change takes effect; and (iii) verify at least once each calendar year that the information of the LEI Entity is accurate in all respects or update any information that is inaccurate. You further agree that, if after ten (10) days, you have not responded to any such communications sent from BFLP, then BFLP may update its records as it deems necessary upon verification from other sources. You agree any rights relating to any data becoming part of the LE-RD belong to the applicable LOU.
As part of providing the Bloomberg Legal Entity Identifier Service, BFLP may: (i) verify and validate information concerning the LEI Entity using public and private sources of information; (ii) communicate with other LOUs concerning your request; (iii) make available to the public information concerning the LEI Entity and a means to challenge the accuracy of such information; and (iv) undertake additional actions to maintain the accuracy of the LEI database, including making changes to LE-RD as required by mandatory law or per internal LOU controls. You may request the transfer of the LEI to another LOU or allow another LOU to request the transfer of the LEI on your behalf. Requests to transfer an LEI to or from another LOU may be submitted to lei-support@bloomberg.net.
The fees for the Bloomberg Legal Entity Identifier Service, including annual fees and any fees associated with a transfer of the LEI, shall be determined by BFLP in its sole discretion on an annual basis and shall be identified at the time a service is requested. If you elect to proceed with the service requested, you agree to pay all fees incurred by you. You acknowledge that you are required to make annual payments for the re-validation and renewal of an LEI. All fees for services shall be billed to you in full at the time of service and are non-refundable, and you shall be solely responsible for their payment. Payments for services available through this website are processed by third-party payment processor, Stripe, and are governed by Stripe’s terms and conditions, available here.
You agree that any information submitted by you or generated through the Bloomberg Legal Entity Identifier Service will be made available to the public to download, display, retrieve, modify, adapt, use, copy, reproduce, broadcast, distribute, disclose or republish in any form. BFLP may use information relating to the LEI Entity for any legal purpose including using and combining the information in its commercial products and services. If you submit or provide any materials or content in connection with the Bloomberg Legal Entity Identifier Service, you grant BFLP and its affiliates a royalty free, perpetual, irrevocable, transferrable, assignable, sub-licensable, worldwide license to use such materials and content, including alterations thereof, for their business purposes, in any form, in any media, and via any technology, whether it exists now or is created in the future. You represent that you have the right to grant these rights to any materials and content posted or otherwise submitted by you.
YOU AGREE THAT YOUR USE OF THE BLOOMBERG LEGAL ENTITY IDENTIFIER SERVICE IS AT YOUR SOLE RISK AND ACKNOWLEDGE THAT THE SERVICE AND ANYTHING CONTAINED WITHIN THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND THAT BFLP MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE BLOOMBERG LEGAL ENTITY IDENTIFIER SERVICE, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE OR USE.
You acknowledge that: (i) BFLP does not guarantee the sequence, accuracy, completeness, or timeliness of the Bloomberg Legal Entity Identifier Service; (ii) the provision of certain parts of the Bloomberg Legal Entity Identifier Service is subject to the terms and conditions of other agreements to which BFLP is a party; (iii) none of the information contained on this website constitutes a solicitation, offer, opinion, or recommendation by BFLP to buy or sell any security, or to provide legal, tax, accounting, or investment advice or services regarding the profitability or suitability of any security or investment; (iv) the information provided is not intended for use by, or distribution to, any person or entity in any jurisdiction or country where such use or distribution would be contrary to law or regulation; (v) issuance of an LEI and its yearly renewal are subject to requirements established by GLEIF and GLEIF reserves the right to request the transfer of the LEI to another LOU; and (vi) GLEIF reserves the right to request transfer of the LEI to another LOU.
UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL BFLP, ITS SUPPLIERS, AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES EVEN IF BFLP HAS BEEN ADVISED SPECIFICALLY OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM USE OF OR INABILITY TO USE THE BLOOMBERG LEGAL ENTITY IDENTIFIER SERVICE OR ANY FAULT, INACCURACY, DELAY OR ANY OTHER FAILURE THEREIN, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL BFLP’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) EXCEED THE GREATER OF THE AMOUNT PAID BY YOU, IF ANY, OR FIFTY DOLLARS (US$50).
You agree, at your own expense, to indemnify, defend and hold harmless BFLP, its suppliers, agents, directors, officers, employees, representatives, successors, and assigns from and against any and all third-party claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ and experts’ fees, arising out of or in connection with your use of the Bloomberg Legal Entity Identifier Service. You agree to pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action, or proceeding attributable to any such claim. BFLP reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with BFLP in asserting any available defense.
BFLP will not disclose client data (which may include personal information, together "client data") in response to requests from law enforcement, governmental, or regulatory agencies except where required to do so by law (for example, in response to valid and properly-served legal process such as a subpoena or search warrant). BFLP will attempt to notify its client prior to disclosing client data unless: (1) prohibited by applicable law from doing so, or (2) there are clear indications of unlawful conduct in connection with the client’s use of Bloomberg Legal Entity Identifier Service. Notwithstanding any of the foregoing, BFLP reserves the right to respond to urgent law enforcement requests if BFLP believes in good faith that an emergency involving imminent danger of death or serious physical injury justifies such disclosure.
BFLP reserves the right to modify the terms of the Agreement at any time according to the current requirements of GLEIS or for any other reason. BFLP has the right to deny access to, and to suspend or terminate your access to, the website or the Bloomberg Legal Entity Identifier Service, at any time and for any reason, including for any violation by you of this Agreement.
Those that choose to access the Bloomberg Legal Entity Identifier Service do so on their own initiative and are responsible for compliance with all applicable laws. By accessing the Bloomberg Legal Entity Identifier Service, you represent and warrant that none of you, or any person who acts on your behalf or at your direction, or any person on whose behalf you are acting, is: (a) located in, normally a resident of, or the government of, a country in which for reputational and/or operational reasons BFLP and its affiliates have chosen to not market or otherwise support the offering of services, which currently consist of Cuba, North Korea, Iran and the non-Ukraine-government-controlled regions of Ukraine (each, an “Excluded Jurisdiction”); (b) located in, normally a resident of, or the government of, any country or region with respect to which the United Nations, United States, European Union, United Kingdom, and/or any country in which BFLP or its affiliates operate the Bloomberg Legal Entity Identifier Service (the “Sanctioning Authorities”) maintains sanctions and/or export controls prohibiting all or substantially all shipment or provision of services, goods, technology or software (a “Sanctioned Jurisdiction”); or (c) a government or person whose assets a Sanctioning Authority has blocked or frozen or to which a Sanctioning Authority restricts the shipment or provision of services, goods, technology or software (a “Prohibited Party”).
The failure of BFLP to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of the Agreement will remain in force. This Agreement constitutes the entire agreement between you and BFLP and governs your use of the Bloomberg Legal Entity Identifier Service. For contractual purposes, you consent to receive communications from BFLP in an electronic form, and you agree that all terms and conditions, agreements, notices, disclosures, and other communications that BFLP provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing. You may not assign the Agreement or the rights hereunder, including but not limited to, any license to access and use the Bloomberg Legal Entity Identifier Service, without the prior written consent of Bloomberg. Bloomberg may assign the Agreement to an affiliate. You acknowledge and agree that Bloomberg may delegate certain of its responsibilities, obligations, and duties under or in connection with the Agreement to a third party or affiliate, which may discharge those responsibilities, obligations, and duties on behalf of Bloomberg. Any written notices required under this Agreement, including any challenges in connection with LEI or LE-RD, shall be directed to Bloomberg L.P., Legal Department, 731 Lexington Avenue, New York, NY 10022, legalnotices@bloomberg.net. The contractual language to be observed for any formal notices is English.
The Agreement shall be governed and construed in accordance with the laws of the United States and the State of New York, without giving effect to conflicts-of-law principles thereof. You agree to submit to the personal jurisdiction of the state and federal courts located in New York County in the State of New York with respect to any legal proceedings that may arise in connection with the Service or from a dispute as to the interpretation or breach of the Agreement.
